General Purchasing Terms and Conditions

1. Scope of Application

These general terms and conditions govern all purchases of goods and services made by CECO S.A., applying to all suppliers and contractors collaborating with the company.

2. Procurement Process

Procurement is formalised through an order, contract, or written agreement, and is governed by these general terms and conditions as well as the applicable legislation.

3. Submission of Offers

Offers must be submitted by persons with sufficient authority to represent. Submission of an offer implies acceptance of these general terms and conditions and guarantees compliance with applicable regulations.

4. Prices and Payments

Prices shall be as agreed in the order or contract and include all associated costs, unless otherwise stated. Payment will be made within the timeframes and under the conditions established in the order or contract, after receipt and approval of the goods or services.

5. Deliveries and Deadlines

The supplier undertakes to make deliveries within the agreed deadlines and under the specified conditions. Unjustified delay in delivery may result in cancellation of the order and a claim for damages.

6. Warranties

The supplier guarantees that the goods and services supplied comply with technical specifications, current regulations and are free from defects. In the event of a defect or non-compliance, the supplier must repair, replace, or reimburse the corresponding amount.

7. Ownership and Risks

Ownership of the goods is transferred to CECO S.A. upon receipt and approval. The supplier bears all risks until effective delivery of the goods.

8. Data Protection and Confidentiality

The supplier undertakes to comply with data protection regulations and to maintain the confidentiality of all information accessed during the commercial relationship.

9. Sustainability and Environmental Protection

The supplier undertakes to comply with current environmental regulations and adopt sustainable practices in the manufacture, transport, and delivery of goods and services. The use of recycled materials, waste reduction, and efficient use of energy resources will be viewed favourably. The supplier must avoid the use of hazardous substances as far as possible and must always properly manage any waste generated.

10. Compliance and Business Ethics

The supplier declares compliance with current legislation regarding the prevention of corruption, human rights, equality, and working conditions. They undertake to act with integrity, transparency, and ethics in all operations, avoiding any conduct that could result in a conflict of interest or reputational damage for CECO S.A. The supplier must immediately inform CECO S.A. of any breach or suspicion of irregular practices related to the commercial relationship.

11. Dispute Resolution

Any dispute arising from the interpretation or execution of these general terms and conditions will preferably be resolved amicably. In the event of disagreement, the parties submit to the jurisdiction of the courts of Madrid.

12. Validity

These general terms and conditions shall be valid from the acceptance of the offer and throughout the performance of the contract or order.
